Terms of Service

1. Acceptance of Terms

By creating an account or accessing the N24R platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are accepting on behalf of a company or organisation, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these terms, do not access or use the platform. Access to N24R is by invitation or approved application only — creating an account does not guarantee platform access.

2. Platform Description

N24R is an operational security staffing platform that facilitates the onboarding, credentialing, dispatch, and management of professional security agents. The platform serves three categories of users:

  • Security agents — individuals who register, maintain credentials, and accept shift assignments through the platform
  • PPO / company administrators — licensed private protection operations or security companies that manage agents and fulfil client engagements
  • Enterprise clients — organisations that engage PPOs through N24R for security coverage at their sites

N24R is a technology platform, not a licensed security company. We do not directly employ security agents and are not party to the operational security relationship between PPOs, agents, and clients. Each PPO is independently responsible for the legal employment status, licensing, and deployment compliance of its agents.

3. Account Registration and Access

All accounts require accurate and complete information at registration. You are responsible for maintaining the security of your login credentials and for all activity conducted under your account. Notify us immediately if you suspect unauthorised access.

Role-based access is enforced at the platform level. Users may not attempt to access data, features, or records outside their assigned role. Circumventing access controls is grounds for immediate termination.

N24R reserves the right to verify the identity and licensing status of any user or organisation before granting or continuing platform access.

4. Agent Obligations

Agents who register on N24R agree to the following:

  • Maintain all required state and local licenses (BSIS Guard Card, firearms permits, certifications) and keep them current on the platform
  • Notify the platform immediately if any credential is suspended, revoked, or becomes invalid
  • Respond to shift offers in a timely manner and honour accepted assignments
  • Accurately record clock-in and clock-out events for each shift worked
  • Not misrepresent qualifications, credentials, or availability
  • Conduct all on-site work in accordance with applicable law and the deploying PPO's operational guidelines

Agents who fail to maintain valid credentials, repeatedly no-show to accepted shifts, or are flagged for conduct violations may be suspended or permanently removed from the platform. N24R maintains a do-not-assign flag that PPOs may set to restrict agent deployment; agents may request review of such flags through the standard dispute process.

5. PPO and Company Obligations

PPOs and security companies using N24R to manage and deploy agents agree to:

  • Hold all required business licenses, PPO licences, and insurance for the jurisdictions in which they operate
  • Ensure that only agents with valid, platform-verified credentials are assigned to shifts requiring those credentials
  • Maintain accurate client and site information in the platform
  • Honour billing and payment obligations within agreed payment terms
  • Use the platform only for lawful security staffing engagements
  • Ensure that agents are properly classified (employee or contractor) under applicable employment law

N24R provides compliance tooling to assist with credential tracking, but the PPO remains solely responsible for verifying that deployments meet all legal and contractual requirements. N24R assumes no liability for compliance failures arising from inaccurate credential data submitted by agents or PPOs.

6. Enterprise Client Obligations

Enterprise clients accessing the N24R client portal agree to:

  • Use the portal exclusively for legitimate security coverage management purposes
  • Maintain the confidentiality of agent information shared through the platform
  • Not contact, solicit, or directly engage agents outside the platform in a manner that circumvents the deploying PPO
  • Process and respond to candidate approvals within agreed timeframes
  • Settle invoices in accordance with agreed payment terms

7. Prohibited Conduct

The following are prohibited on the N24R platform:

  • Submitting false, fraudulent, or misleading information including forged credentials
  • Attempting to access, probe, or exploit any part of the platform infrastructure
  • Using automated tools, scrapers, or bots against the platform without express written consent
  • Sharing login credentials with unauthorised parties
  • Using the platform to facilitate unlicensed security operations
  • Harassing, threatening, or discriminating against any other user
  • Circumventing invoicing or payment obligations through off-platform arrangements designed to avoid platform fees

8. Intellectual Property

The N24R platform, including its software, design, data models, and content, is proprietary to N24R and protected by applicable intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended operational purpose.

You retain ownership of data you submit to the platform (agent profiles, shift records, documents). By submitting data, you grant N24R a limited licence to process and display that data as necessary to operate the platform and deliver the service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, N24R shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the platform, including but not limited to: loss of revenue, deployment failures, on-site incidents, or data loss caused by events outside our reasonable control.

Our total aggregate liability for any claim arising under these terms shall not exceed the greater of (a) the fees paid by you to N24R in the twelve months preceding the claim, or (b) one hundred US dollars (USD 100).

Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify and hold harmless N24R and its operators, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the platform in violation of these terms; (b) your breach of any applicable law or regulation; (c) any on-site incident arising from an assignment you managed or conducted; or (d) inaccurate or fraudulent information you provided to the platform.

11. Termination

Either party may terminate an account at any time. N24R may suspend or terminate your account immediately and without notice if you breach these terms, engage in prohibited conduct, fail to maintain required licensing, or pose a risk to the platform or its users.

Upon termination, your access to the platform ceases. Data is retained per our Privacy Policy. Outstanding billing obligations survive termination. Sections covering intellectual property, limitation of liability, indemnification, and governing law survive termination indefinitely.

12. Governing Law and Disputes

These terms are governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any dispute arising from or related to these terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Los Angeles County, California.

Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction where irreparable harm is threatened.

13. Changes to These Terms

We may update these terms as the platform evolves. Material changes will be communicated via email to registered account holders at least 14 days before they take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated terms. We recommend reviewing this page periodically.
